These Terms of Service (“Terms”) govern use of Vervet’s travel logistics software platform and related services. By accessing or using our services, users agree to be bound by these Terms.
Scope
These Terms apply to all users of Vervet’s services, including students, educational institutions, travel organizations, chaperones, and administrators who access or use our platform.
Service Description
Vervet provides a comprehensive travel logistics software platform designed specifically for student travel organizations.
Our services include:
Electronic Document Management : Secure e-signature capabilities for travel documents, permissions, and agreements
Incident Reporting System: Digital incident report creation, submission, and management tools
Expense Management: Comprehensive expense reporting and tracking functionality
Flight Information Management: Flight booking integration, schedule management, and real-time updates
Packing List Management: Customizable packing lists based on destination and travel type
Itinerary Management: Trip planning, schedule creation, and distribution tools
Chaperone Communications: Secure messaging and note-sharing platform for trip supervisors
Administrative Dashboard: Comprehensive management interface for organizations
Account Creation and Access
Registration Requirements
Users must provide accurate, current, and complete information during registration
Users are responsible for maintaining the confidentiality of account credentials
Users must be at least 13 years of age to create an account, or have parental/guardian consent
Educational institutions must provide valid institutional credentials
Each user account is for individual use and may not be shared
Account Security
Users are responsible for all activities that occur under their account
Users must notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these Terms
Strong passwords and multi-factor authentication are required for administrative accounts
User Responsibilities and Acceptable Use
Acceptable Use
Users agree to use our services only for lawful purposes and in accordance with these Terms. Acceptable use includes:
Legitimate educational and travel organization activities
Accurate data entry and document submission
Respectful communication with other platform users
Compliance with all applicable laws and regulations
Prohibited Activities
The following activities are strictly prohibited:
Unauthorized access to accounts, systems, or data
Uploading or transmitting malicious software, viruses, or harmful code
Harassment, bullying, or inappropriate communication with other users
Falsifying information or documents
Attempting to reverse engineer, modify, or hack our services
Using the platform for commercial purposes unrelated to travel organization
Sharing account credentials or allowing unauthorized access
Violating any applicable laws or regulations
Interfering with the proper functioning of our services
Data Accuracy
Users are responsible for
Providing accurate and up-to-date information
Maintaining current contact and emergency information
Ensuring all submitted documents are authentic and complete
Promptly updating any changes to personal or organizational information
Data Privacy, Security, and Confidentiality
Data Collection and Use
We collect and process personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms. This includes:

Student and minor information receives additional protection in compliance with applicable privacy laws
Service Modifications and Updates
Platform Updates
We reserve the right to modify, update, or discontinue features at any time
Major changes will be communicated to users with reasonable advance notice
Critical security updates may be implemented without prior notice
Continued use of the platform constitutes acceptance of updates
Service Availability
We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
Scheduled maintenance will be announced in advance when possible
We are not liable for temporary service interruptions due to maintenance, updates, or technical issues
Account Suspension and Termination
User-Initiated Termination
Users may terminate their account at any time by contacting our support team
Data export options are available upon request prior to account deletion
Some data may be retained for legal or operational requirements as outlined in our Privacy Policy
Company-Initiated Suspension or Termination
We may suspend or terminate accounts for:
Violation of these Terms of Service
Fraudulent or illegal activities
Non-payment of fees (for paid accounts)
Prolonged account inactivity
Failure to comply with our policies or legal requirements
Effect of Termination
Upon termination:
Access to the platform will be immediately revoked
Data may be retained for a limited period as required by law
Outstanding obligations remain in effect
Provisions regarding liability, disputes, and governing law survive termination

MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
UNINTERRUPTED OR ERROR-FREE OPERATION
SECURITY OR FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY USER FOR OUR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
WE ARE NOT LIABLE FOR TRAVEL DISRUPTIONS, CANCELLATIONS, OR RELATED EXPENSES
WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES OR CONTENT
Travel-Specific Disclaimers
Vervet is a software and application platform only and does not provide travel services directly
We are not responsible for travel arrangements, accommodations, or transportation
Users are responsible for compliance with all travel requirements, including visas, health requirements, and safety protocols
Weather, political events, and other factors beyond our control may affect travel plans
Indemnification
Users agree to indemnify, defend, and hold harmless Vervet, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from:
User use of our services
User Violation of these Terms
User violation of any third-party rights
Any content or information user submits through our platform
Any travel-related incidents or issues during trips organized using our platform
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
Dispute Resolution Process
Step 1: Direct Communication Users must first attempt to resolve disputes through direct communication with our customer support team at https://www.vervet.io/tech-support and/or stephflu@vervet.io
Step 2: Mediation If direct communication fails, disputes may be submitted to binding mediation through a mutually agreed-upon mediator in Virginia.
Step 3: Arbitration If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration proceedings shall take place in Virginia Beach, Virginia.
Exceptions to Arbitration
The following matters are excluded from arbitration and may be pursued in court:
Claims for injunctive relief
Intellectual property disputes
Small claims court matters within jurisdictional limits
Class Action Waiver
You agree that disputes may only be brought on an individual basis and not as part of any class action, collective action, or representative proceeding.

Payment Terms
Payment is due according to the billing schedule specified in your account
Late payments may result in service suspension
Disputed charges must be reported within 60 days of billing
Intellectual Property
Our Content
All content, features, and functionality of our platform are owned by Vervet and protected by copyright, trademark, and other intellectual property laws.
User Content
User retains ownership of content submitted to our platform
User grants us a limited license to use their content in our platform to provide our services
User represents that they have the right to submit all content and that it does not infringe on third-party rights

Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our platform. Users will be notified of material changes via email or platform notification. Continued use of our services after changes constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Vervet regarding your use of our services.
